Aalpha reserves the right to update or discontinue any service offerings at any time without prior notice, unless contractually obligated otherwise.
3. Use of Website and Content
All content on the Aalpha website including text, graphics, images, videos, logos, and service descriptions is the intellectual property of Aalpha Information Systems or its licensors.

- Retainer engagements
The model applicable to your project is defined in the SOW.
5.3 Payment Terms
Unless otherwise stated:
- Invoices must be paid within the timeframe specified in the SOW or invoice
- Delayed payments may incur late fees
- Work may be paused for outstanding invoices
- Taxes, duties, and bank charges are the client’s responsibility
5.4 No Refund Policy
Due to the nature of software development and consulting work, payments made are non-refundable unless explicitly agreed in writing.
6. Intellectual Property Rights
6.1 Client IP
Clients retain full ownership of:
- Their existing intellectual property
- Brand assets, content, and proprietary data
- Deliverables developed by Aalpha upon complete payment
6.2 Aalpha IP
Aalpha owns:
- Internal tools, frameworks, accelerators
- Pre-existing code libraries
- Methodologies, templates, and processes
These may be licensed to clients for project use but are not transferred unless stated contractually.
7. Confidentiality
Both Aalpha and the client agree to maintain confidentiality of:
- Business information
- Project details
- Technical documentation
- Source code
- Financial or operational information
- User or customer data
None of this information may be disclosed to third parties without written consent, except when required by law.
8. Data Protection and Privacy
Aalpha handles personal information as described in our Privacy Policy. By using our website and services, you consent to the collection and processing of your data according to that policy.
Clients remain responsible for obtaining necessary user permissions, consents, or legal bases when providing data to Aalpha for development or integration purposes.
9. Third-Party Tools and Integrations
Aalpha may recommend or integrate third-party tools, APIs, libraries, or cloud services. While we ensure due diligence, we are not responsible for:
- Third-party outages
- Pricing changes
- Data handling by third-party providers
- Service disruptions
Clients must accept and comply with the terms of any third-party services utilized within a project.
10. Warranties and Disclaimers
Aalpha provides services on a best-effort basis and does not guarantee:
- That the website will be uninterrupted or error-free
- That software will be completely bug-free
- That outcomes will always match stated goals if requirements change
- That third-party systems will always function as expected
All services are provided “as-is” unless explicitly documented in a signed agreement.
11. Limitation of Liability
To the maximum extent permitted by law, Aalpha is not liable for:
- Loss of revenue, profits, or business
- Data loss or corruption
- Downtime caused by third-party systems
- Indirect or consequential damages
- Security breaches caused by client mismanagement
- Actions caused by external service providers
Aalpha’s total liability for any claim arising out of a service engagement is limited to the amount paid by the client for the services during the preceding three months.
12. Termination
Aalpha may suspend or terminate access or services if:
- A client violates these Terms
- Payments remain overdue
- Fraudulent activity is detected
- Continued engagement is not feasible due to technical, legal, or operational constraints
Clients may terminate a project according to the terms outlined in the SOW or contract. Outstanding payments must still be settled.
13. Governing Law
These Terms are governed by the laws applicable in:
India
Any disputes will be handled exclusively in the courts of that jurisdiction, unless otherwise specified in a service agreement.
14. Changes to Terms
Aalpha may update these Terms periodically. Updates take effect upon being posted on this page. Continued use of our website or services indicates acceptance of revised Terms.
